Welcome to MidSouth Creative Co. These Terms and Conditions (“Terms”) govern your use of our website and services. By accessing our site or hiring us, you agree to be bound by these Terms.

2. Services Provided

MidSouth Creative Co. provides digital services including (but not limited to):

Website design and development

AI-integrated chatbot implementation

Branding and visual identity design

Website hosting and maintenance

Specific project terms, timelines, and deliverables will be outlined in a signed agreement or project proposal between you (“Client”) and MidSouth Creative Co.

3. Payments and Billing

All projects require an initial deposit before work begins.

The remaining balance is due upon completion unless otherwise stated in writing.

AI-integration will require monthly payments and will stop functioning if payment is not received.

Late payments may result in project delays or temporary suspension of services.

All payments are non-refundable once work has commenced unless otherwise agreed upon.

We accept payments online payment processors.

4. Intellectual Property

a. Client Ownership

Upon full payment, the Client owns the final website design, logo, or deliverable, excluding any third-party software, plugins, or frameworks used under license.

b. Company Portfolio Rights

MidSouth Creative Co. reserves the right to display completed projects in our portfolio, case studies, and marketing materials unless otherwise requested in writing by the Client.

c. Third-Party Licenses

The Client is responsible for maintaining valid licenses for any paid plugins, fonts, or third-party tools integrated into their website.

5. Revisions and Approvals

Each project includes a specified number of revision rounds (defined in the proposal). Additional revisions beyond that may incur extra charges.
Client approval of deliverables at each milestone signifies acceptance, and further changes may require new billing.

6. Client Responsibilities

The Client agrees to:

Provide accurate information, content, and materials needed for the project.

Respond to communication and approvals in a timely manner.

Obtain proper rights or permissions for any materials provided to us.

We are not responsible for project delays caused by the Client’s failure to meet deadlines or provide required information.

7. Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, or project-related details shared during collaboration.

8. Limitation of Liability

To the fullest extent permitted by law, MidSouth Creative Co. shall not be liable for:

Loss of profits, data, or business opportunities

Website downtime, data loss, or security breaches beyond our control

Indirect, incidental, or consequential damages arising from service use

Our total liability shall not exceed the total amount paid by the Client for the specific project.

9. Termination

Either party may terminate a project in writing if:

The other party materially breaches the agreement and fails to remedy it within 10 business days.

The Client fails to make required payments.

Upon termination, all unpaid work and expenses become immediately due.

10. Website Maintenance and Updates

If the Client purchases ongoing maintenance, updates will be performed as outlined in their maintenance plan.
Otherwise, post-launch issues are not covered beyond the initial warranty period stated in the project agreement.

1. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.
Any disputes will be resolved in the courts located in Tennessee/United States of America.

12. Changes to Terms

We may revise these Terms at any time. Continued use of our website or services after changes take effect means you accept the updated Terms.
